General Conditions of Sale

1. Definitions

These General Terms and Conditions of Sale (hereinafter ‘GTC’) are offered by SD Holding Group LLC, a company registered in the United States, with its registered office at:

The Hailey Beauty brand is operated by SD Holding Group LLC.

Hereinafter referred to as:

  • ‘Website’: the website www.haileybeauty.com and all of its pages.
  • ‘Products’: all cosmetic products sold online.
  • ‘Seller’: SD Holding Group LLC.
  • “Customer”: any person, whether an individual or a professional, who purchases a product on the Website.
  • ‘Consumer’: any natural person acting for non-professional purposes (Consumer Code, preliminary article).

The Customer acknowledges that they have read and accepted these GTC without reservation.

2. Purpose and application

These GTC govern the sale of cosmetic products (make-up, skincare, related accessories) made via the Website.

The Seller reserves the right to modify the GTC at any time. The applicable GTC are those in force on the date of the order.

The Website is freely accessible. Any order implies full acceptance of the GTC.

The Customer guarantees that they have the legal capacity required to enter into a contract.

3. Customer account

A customer account must be created in order to place an order. The Customer undertakes to provide accurate information and to keep it up to date.

The Customer is responsible for the confidentiality of their password and access to their account.

The Seller may delete any account that does not comply with the terms and conditions or has been inactive for more than 12 months.

4. Orders

The Products offered are those displayed on the Website, while stocks last.

Product descriptions are provided for information purposes only. Images are not contractually binding.

Order process:

  1. product selection,
  2. add to basket,
  3. confirmation,
  4. entry of personal information,
  5. acceptance of the GTC,
  6. payment,
  7. confirmation email.

The products remain the property of the Seller until full payment has been received.

5. Prices & Payment

Prices are indicated in euros including VAT for customers located in the European Union, and excluding VAT for customers located outside the EU (local taxes may apply depending on the country).

The Seller reserves the right to modify its prices at any time, but always applies the price in force at the time of the order.

Payment is secured by credit card via a third-party provider. The Website does not store any bank details.

Orders paid by bank transfer or other means are only processed after actual receipt of payment.

6. Delivery

Delivery is available worldwide.

Delivery costs are displayed before the order is confirmed.

For deliveries outside the EU, the Customer is considered the importer and agrees to bear any customs charges.

Estimated delivery times:

  • Legal maximum: 30 days for European customers (Art. L.216-1 of the French Consumer Code).

The Customer must check the package upon delivery and immediately report any anomalies to the carrier.

In the event of an unclaimed or refused parcel being returned to the Seller, the Customer shall be responsible for the re-shipping costs.

7. Right of withdrawal (EU only)

In accordance with European legislation (Art. L.221-18 et seq.), the Consumer Customer has a period of 14 days from receipt of the parcel.

❗ Important information regarding cosmetics

Pursuant to Article L.221-28 of the Consumer Code, the right of withdrawal does not apply to:

  • hygiene products,
  • cosmetic products that have been opened, unsealed or used, for health reasons.

Therefore, any cosmetic product that has been opened cannot be returned or refunded.

The product must be returned new, sealed and in perfect condition.

Return costs are the responsibility of the Customer.

8. Legal guarantees (France/EU)

The products benefit from:

Legal guarantee of conformity

(Articles L.217-4 to L.217-14 of the Consumer Code)

Legal guarantee against hidden defects

(Articles 1641 to 1649 of the Civil Code)

If a product is defective, the Customer may request:

  • repair,
  • replacement,
  • or refund if the first two options are not possible.

The return costs are then borne by the Seller.

10. Mediation (mandatory in the EU)

In accordance with Article L.612-1 of the Consumer Code, any Consumer may have recourse to a mediator free of charge.

11. Liability

The Seller shall not be liable in the event of:

  • misuse of the products,
  • incorrect information provided by the Customer,
  • external events (force majeure),
  • indirect damage (loss of profits, data, etc.).

Product images are not contractual.

12. Intellectual property

All content on the Website (text, images, logos, videos, trademarks) is protected by applicable laws.

Any unauthorised reproduction is strictly prohibited.

13. Independence of clauses

If one clause is deemed invalid, the others remain valid.

14. Applicable law

  • For Customers located in the European Union: French law.
  • For Customers located outside the EU: the law of the competent jurisdiction in the United States (State of Florida).

Any dispute that cannot be resolved amicably may be submitted to the competent courts in accordance with the rules applicable to consumers.
